These Terms of Service govern your access to www.grcaut.shop and the services provided by GRC AUTO SALES LLC. By using our Site or Services, you agree to be bound by these Terms. GRC AUTO SALES LLC is a limited liability company organized under Ohio law, with its principal place at 9950 RITTMAN RD WADSWORTH, 44281 UNITED STATES.
We provide computer systems design, integrated systems design, and related consulting. Specific scope is defined in statements of work executed by both parties.
Upon full payment, we assign rights to specific Deliverables, excluding our Background IP. Site content is our property. We grant a non-exclusive license to Background IP incorporated in Deliverables.
Fees are in USD as set forth in each statement of work. Invoices are due within 30 days. Late payments incur 1.5% monthly interest. You are responsible for applicable taxes.
Both parties maintain confidentiality of disclosed information. Confidential Information is used solely for performing obligations under this Agreement and is protected with reasonable care. Upon termination, each party returns or destroys the other's Confidential Information.
We warrant professional performance of Services and conformance of Deliverables to specifications for 90 days. EXCEPT AS EXPRESSLY STATED, SERVICES ARE PROVIDED "AS IS" WITHOUT ANY WARRANTIES.
Neither party is liable for indirect, incidental, or consequential damages. Total liability is capped at fees paid in the 12 months preceding the claim. This does not apply to indemnification, confidentiality breaches, IP infringement, or fraud.
We indemnify you against third-party IP infringement claims related to our Deliverables. You indemnify us against claims arising from your violation of these Terms.
This Agreement continues until terminated. Either party may terminate a statement of work on 30 days' notice. Either party may terminate immediately for uncured material breach.
This Agreement is governed by Ohio law. Disputes are first submitted to 30 days of negotiation, then binding arbitration in Wadsworth, Ohio.
You agree not to violate laws, upload harmful content, attempt unauthorized access, interfere with our Site, use automated tools without permission, or transmit malicious code.
We are not responsible for third-party websites or resources linked from our Site.
Neither party is liable for delays caused by circumstances beyond reasonable control. If such events continue for 60 days, either party may terminate.
This Agreement constitutes the entire agreement between the parties. If any provision is invalid, the remaining provisions continue in effect.
We may modify these Terms. Changes are effective upon posting. Material changes are notified 15 days in advance.
